1. Introduction

Welcome to WeStack. These Terms of Service (“Terms”) are a legal agreement between you and WeStack, Inc. (“WeStack,” “we,” “us,” or “our”) and govern your access to and use of our website, mobile application, and related products and services, including features that allow users to create or join Stacks, ShortStacks, shared balances, contribution flows, payment-related experiences, crypto-related experiences, and other financial tools we may make available (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

To use the Services, you must:

  • be at least 18 years old, or the age of majority in your jurisdiction if higher

  • reside in a jurisdiction where the Services are lawfully available

  • have the legal capacity to enter into a binding agreement

  • provide truthful, accurate, and complete information

  • comply with these Terms and all applicable laws

We may refuse access to the Services or limit certain features at our discretion where necessary for legal, risk, compliance, or operational reasons.

3. Account Registration and Security

You may need to create an account to use some or all of the Services. You agree to:

  • provide accurate and current information

  • keep your login credentials secure

  • promptly update any information that changes

  • notify us immediately if you suspect unauthorized access or use of your account

  • accept responsibility for activities that occur under your account to the extent permitted by law

We may require identity verification, additional documentation, or other onboarding steps before allowing access to certain features.

4. Description of the Services

WeStack offers tools intended to support collaborative money management, including the ability to create shared groups, contribute funds, track balances, assign or organize transactions, manage shared spending, and access certain financial, crypto, credit, card, or wallet-related services that may be offered directly by us or through third-party partners.

Some features may be provided, powered, or supported by third-party providers, banking partners, card issuers, wallet or authentication providers, crypto infrastructure providers, payments partners, credit partners, identity verification providers, or compliance vendors. Your use of certain features may also be subject to additional partner terms, disclosures, and consents presented at the time of use.

5. Not a Bank, Broker, Exchange, or Financial Adviser

Unless expressly stated otherwise, WeStack is a technology platform and not a bank, money transmitter, broker-dealer, investment adviser, tax adviser, attorney, exchange, or fiduciary.

We do not provide legal, tax, or investment advice. Any budgeting guidance, organizational tools, recommendations, insights, or educational materials made available through the Services are for informational purposes only and should not be relied on as professional advice.

Banking, payments, custody, identity, wallet, credit, card, or crypto services may be offered by third-party providers or partner institutions, which may have their own terms and regulatory responsibilities.

6. Stacks, ShortStacks, Shared Balances, and Group Features

WeStack may allow you to create or participate in shared financial experiences, including group balances, contribution flows, spending coordination, and transaction organization features.

By creating, joining, or participating in a Stack, ShortStack, or similar shared feature, you understand and agree that:

  • certain account, contribution, participation, balance, allocation, or transaction information may be visible to other participants as necessary for the feature to function

  • shared balances and activity may depend on actions taken by multiple users

  • group administrators, creators, or other users may have certain controls, permissions, or visibility within a shared feature

  • WeStack is not responsible for disputes between users relating to shared funds, group expectations, allocations, reimbursements, invitations, participation, or spending decisions, except as required by law

  • you are solely responsible for the decisions you make when sending, contributing, spending, or organizing funds with others

We may, but are not obligated to, provide tools to help manage disputes, permissions, or activity records.

7. Payments, Transfers, and Contributions

When you use payment, funding, contribution, or money movement features, you authorize WeStack and our service providers to process transactions in accordance with your instructions, applicable law, and partner requirements.

You agree that:

  • you will only use payment methods, bank accounts, cards, or financial accounts that you are authorized to use

  • you will ensure sufficient funds are available for authorized transactions

  • you are responsible for confirming transaction details before submitting them

  • transactions may be delayed, canceled, reversed, rejected, or limited for legal, risk, fraud, compliance, or operational reasons

  • certain transactions may be irreversible once initiated or processed

  • we may place limits on transaction amounts, timing, velocity, or feature access

You are responsible for reviewing your transaction history and notifying us promptly of suspected errors or unauthorized activity.

8. Cards, Wallets, and Linked Accounts

Some Services may allow you to link external financial accounts, use wallet functionality, access virtual or physical card features, or interact with payment rails or partner-issued products.

Those features may be governed in part by separate partner agreements, cardholder terms, account agreements, or disclosures. In the event of a conflict between these Terms and partner terms that apply to a specific regulated product or service, the partner terms may control for that specific product or service.

9. Crypto Services

If crypto-related features are offered, they may be provided through third-party partners and may be subject to additional terms, disclosures, eligibility requirements, location restrictions, and risk acknowledgments.

You understand and agree that:

  • digital asset values are volatile and may fluctuate significantly

  • crypto transactions may be irreversible

  • network congestion, protocol changes, blockchain failures, third-party service outages, or market conditions may affect timing, pricing, or availability

  • WeStack does not guarantee the value, performance, legality, availability, or continued support of any digital asset, network, or partner feature

  • you are solely responsible for evaluating whether crypto activity is appropriate for you

We may suspend, limit, or discontinue any crypto-related feature at any time.

10. Credit, Monitoring, Rewards, and Promotional Features

WeStack may offer or facilitate access to credit-related tools, credit monitoring, offers, rewards, referrals, educational content, or promotional programs. Such features may be subject to additional eligibility criteria, disclosures, third-party terms, or program rules.

We do not guarantee approval, availability, savings, score outcomes, rewards value, or promotional results unless expressly stated in writing.

We may modify, suspend, or terminate promotional programs, referral programs, or rewards features at any time, subject to applicable law.

11. Fees

Certain Services may involve fees, charges, spreads, or other amounts disclosed to you at the time of use or through separate schedules, disclosures, or partner agreements.

You agree to pay all applicable amounts associated with your use of the Services. Unless otherwise stated, fees are non-refundable except as required by law.

We may change fees from time to time. If required by law, we will provide notice before changes take effect.

12. User Content and Submissions

You may submit content through the Services, including usernames, profile images, notes, comments, transaction labels, invitations, support communications, and other materials (“User Content”).

You retain ownership of your User Content, but you grant WeStack a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, display, and process that content as reasonably necessary to operate, improve, secure, and provide the Services.

You represent and warrant that you have all rights necessary to submit your User Content and that it does not violate any law or the rights of others.

13. Prohibited Conduct

You agree not to, and not to help others:

  • violate any law, regulation, or third-party right

  • use the Services for fraud, money laundering, sanctions evasion, unauthorized transactions, deceptive conduct, or illegal activity

  • impersonate another person or misrepresent your identity or authority

  • submit false, inaccurate, or misleading information

  • interfere with the integrity, security, or performance of the Services

  • attempt to gain unauthorized access to accounts, systems, or data

  • reverse engineer, decompile, scrape, or otherwise misuse the Services except as allowed by law

  • use bots or automation in a way that harms the Services or other users

  • upload malicious code, viruses, or harmful material

  • harass, threaten, exploit, or abuse other users

  • use the Services in connection with prohibited businesses, restricted activities, or transactions that our partners or compliance programs do not permit

We may investigate, suspend, restrict, or terminate access where we suspect prohibited conduct.

14. Compliance, Monitoring, and Investigations

To comply with law and protect the Services, we and our partners may monitor activity, conduct reviews, request information, perform identity verification, screen against sanctions or watchlists, and investigate suspected fraud, abuse, or unlawful conduct.

You agree to cooperate with reasonable compliance and security requests. Failure to do so may result in delays, restrictions, holds, suspension, or termination of access.

15. Suspension, Holds, Restrictions, and Termination

We may, with or without notice where permitted by law, suspend, restrict, freeze, delay, or terminate your access to some or all of the Services if we believe it is reasonably necessary for security, fraud prevention, legal compliance, partner requirements, disputes, risk management, operational integrity, or suspected violations of these Terms.

You may stop using the Services at any time. Any obligations or provisions that by their nature should survive termination will survive, including provisions relating to liability, disputes, indemnification, and intellectual property.

16. Intellectual Property

The Services, including software, designs, branding, logos, text, graphics, interfaces, and other content made available by WeStack, are owned by or licensed to WeStack and are protected by intellectual property laws.

Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you. You may not use WeStack branding, trademarks, or copyrighted content without prior written permission.

17. Third-Party Services and Links

The Services may integrate with or link to third-party websites, tools, products, or services. We do not control and are not responsible for third-party services, content, policies, uptime, availability, accuracy, or security.

Your use of third-party services is at your own risk and may be subject to separate terms and privacy policies.

18. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. WESTACK DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, WeStack does not warrant that:

  • the Services will be uninterrupted, error-free, or secure

  • any feature will remain available

  • data will always be accurate, complete, current, or available

  • any financial outcome, savings outcome, credit outcome, or crypto outcome will be achieved

  • any user or third party will perform as expected

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WESTACK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF WESTACK FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO WESTACK, IF ANY, IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR

  • $100 USD

Some jurisdictions do not allow certain limitations of liability, so some portions of this section may not apply to you.

20. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless WeStack and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of the Services

  • your User Content

  • your violation of these Terms

  • your violation of applicable law

  • your infringement or misappropriation of any rights of another person or entity

  • disputes between you and other users

21. Dispute Resolution and Arbitration

Please read this section carefully. It may require you to resolve disputes through binding arbitration instead of in court, and it may limit class actions.

To the fullest extent permitted by law, you and WeStack agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will first be attempted to be resolved informally by contacting the other party.

If a dispute cannot be resolved informally, it may be resolved through final and binding arbitration on an individual basis, except to the extent prohibited by law or except for claims that qualify for small claims court.

Unless otherwise required by law, arbitration will be administered by a recognized arbitration provider under applicable consumer arbitration rules. You and WeStack waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding.

You should have counsel review this section before publication to ensure the arbitration provider, opt-out rights, notice mechanics, venue, governing rules, mass arbitration treatment, and state-specific consumer requirements are appropriate for your business.

22. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles, except to the extent superseded by federal law or consumer protection law that cannot be waived.

23. Electronic Communications

By using the Services, providing your contact information, or agreeing to these Terms electronically, you consent to receive communications from us electronically, including emails, in-app notices, text messages where permitted, and other digital communications related to your account, transactions, support, legal notices, and the Services.

Where required, additional E-Sign or electronic consent terms may apply.

24. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. If we make material changes, we may provide notice as required by law. Changes may become effective when posted or on a later date specified by us.

Your continued use of the Services after updated Terms become effective means you accept the updated Terms, except where additional consent is required by law.

25. Miscellaneous

These Terms, together with any additional terms, disclosures, or agreements that apply to specific features, constitute the entire agreement between you and WeStack regarding the Services, except where a separate written agreement applies.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Our failure to enforce any provision is not a waiver of our rights.

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets.
